In my current game, the Tholians have lost all of their space, with no immediate hope of getting it back. However they had around 30 ships escape (maybe that is why they lost their capital! ha) which are now floating around without a home, being adopted here and there to get them to a better position.
So a proposed rule:
When a race loses its capital, and no longer has any owned planets or deployed bases, it can decide to completely join a single allied race.
The ally must pay 1.5 EP per size class 2, 1 EP per size class 3 ship, .5 EP per size class 4 ship, and 4 EP for an FRD, in order to convert those ships to use the allied fleet supply system and weaponry. This refitting removes special weapons and abilities the ally does not have (SFGs, Maulers, drones, webs, pinwheels, etc) and adds enough allied crew and fighters to ensure communications and the chain of command are functional.
Prime teams, MMGs, ENGs, convoys, and other non-ship units can be converted for free. Admirals would lose their status in the new fleet and be removed. A reserve fleet marker would no longer be available, as those resources were lost with their home territory.
After this transition, the ships would be treated as allied ships in all ways, and could be mixed and matched in any manner.
The adoption allows a single major conversion facility, in addition to set limits for the allied race, to be created. This single facility could only convert the adopted ships, and would do so at a normal cost.
Any mobile bases with the adopted fleet would be scrapped for salvage.
Once the fleet has been taken over by the allied race, the old race completely ceases to exist as a separate entity. If at any time their territory is retaken, they can form a new government and create a new capital there. However, for those ships to return they must all pay the fee again to be converted back to the original technology. The major conversion facility would go offline as soon as the new capital is up, and any admirals and reserve counters would return at that time.
I'm sure I left a lot out, so if I'm onto something feel free to let me know, if you think its stupid me spending a lot more time closing all the loopholes would be a waste

Won't you also need to consider technology that can not be transfered? Would it cost more for the new Empire to repair the non-transferable technology ships?

Well I can't imagine it being very hard to pull out an SFG/ESG/Web and plop some cargo/APR/etc into the slots.
